Terms of Service

By accessing or using the Native AI platform at deepnative.ai (the "Service"), operated by Native AI Labs Inc. ("Native AI", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service.

Native AI is a team productivity and business intelligence platform that connects to your organisation's communication tools (including Google Workspace, Microsoft 365, WhatsApp, and others) and uses artificial intelligence to extract tasks, decisions, and insights, and to provide an AI assistant tailored to your business context.

You must create an account to use the Service. You agree to provide accurate, complete, and current registration information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old to use the Service. Accounts are for business use only.

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law.
• Connect accounts or channels you do not have the legal right to access or monitor.
• Attempt to reverse-engineer, decompile, or extract the source code or underlying models of the Service.
• Use the Service to generate, store, or distribute illegal, defamatory, or harmful content.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Resell, sublicense, or otherwise commercially exploit the Service without our written consent.

We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.

Your data is yours. You retain all ownership and intellectual property rights in the data, content, and communications you provide to or through the Service ("Customer Data"). We do not claim any ownership over your Customer Data.

You grant Native AI Labs Inc. a limited, non-exclusive licence to access, process, and store your Customer Data solely to provide the Service to you. This licence terminates when you close your account.

Native AI Labs Inc. retains all rights to the Service, its software, models, and infrastructure. Nothing in these Terms transfers any intellectual property rights of Native AI to you.

Access to certain features requires a paid subscription. Subscription fees are charged in advance on a monthly or annual basis via Stripe (card payments) or Razorpay (UPI and local payment methods). All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy.

We may change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new price.

You may cancel your subscription at any time from the Billing page. Cancellation takes effect at the end of the current billing period.

The Service connects to third-party platforms (Google, Microsoft, WhatsApp, and others). Your use of those platforms is governed by their respective terms of service and privacy policies. We are not responsible for the practices of those platforms.

You are responsible for ensuring you have the appropriate rights and permissions to connect those accounts to the Service, including any applicable employee consent requirements.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

AI-generated outputs (tasks, insights, summaries, responses) are provided for informational purposes only. We do not warrant that such outputs are accurate, complete, or suitable for any particular purpose. You are responsible for reviewing and acting on AI outputs.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NATIVE AI LABS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Native AI Labs Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including any intellectual property or privacy right.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising from or relating to these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a notice on the Service. Continued use of the Service after the effective date of revised Terms constitutes your acceptance of those Terms.

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any other reason at our discretion, with or without notice. You may terminate your account at any time from your account settings.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive.
